Affiliates Terms of Use

1. Agreement and Acceptance

As an authorized affiliate (“Affiliate”) of BTECH Radios (baofengtech.com) (“Affiliate Manager”), you agree to the terms and conditions outlined in this Agreement (“Agreement”). Please read this Agreement carefully before registering and promoting the Affiliate Manager’s products and services as an Affiliate. By signing up for the Affiliate Manager’s Affiliate Program (“Program”), you indicate your acceptance of these terms and conditions.

2. Definitions

• Affiliate: An individual or entity authorized to promote the Affiliate Manager’s products and services in exchange for commissions.
• Affiliate Manager: https://baofengtech.com
• Program: The Affiliate Manager’s Affiliate Program.
• Commission: The payment earned by an Affiliate for referrals that result in completed purchases.
• Referral: A customer directed to the Affiliate Manager’s website through an Affiliate’s unique link.

3. Participation and Commissions

Commissions are based on a tiered scale according to the number of completed purchase referrals per month (calculations reset on the first of each month):

• 1-9 referrals: 5%
• 10 referrals: 6%
• 25 referrals: 7%
• 50 referrals: 8%
• 100 referrals: 9%
• 200 referrals: 10%

Affiliates who consistently exceed the 200 monthly referral limit may qualify for higher custom negotiated lifetime rates.

Commissions are paid monthly. To receive a commission, the referred account must remain active for at least 31 days. Self-referrals are not eligible for commissions. Payments will only be made for successfully completed transactions, excluding any that result in chargebacks or refunds. The Affiliate Manager reserves the right to refuse payment for any reason.

4. Approval or Rejection of Application

The Affiliate Manager reserves the right to approve or reject any Affiliate Program Application at its sole discretion. You will have no legal recourse against the Affiliate Manager for the rejection of your application.

5. Termination

Your affiliate status may be suspended or terminated for reasons including, but not limited to:

• Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
• Spamming (unsolicited mass email, unsolicited mass newsgroup posting, etc.).
• Advertising products contrary to their legal intended use.
• Advertising on sites promoting illegal activities.
• Failure to disclose the affiliate relationship in promotions as required by FTC guidelines.
• Violation of intellectual property rights.
• Offering rebates, coupons, or kickbacks from your affiliate commission.
• Self-referrals or suspected fraud.

The Affiliate Manager reserves the right to terminate any Affiliate account at any time, for any violations of this Agreement or for no reason.

6. Non-Exclusivity

This Agreement does not create an exclusive relationship between you and the Affiliate Manager. You and the Affiliate Manager are free to enter into similar agreements with other parties.

7. Confidentiality

You agree not to disclose any proprietary or confidential information about the Affiliate Manager’s business, products, or services to any third party without prior written consent.

8. Marketing Compliance

You agree to comply with all applicable laws and regulations in your marketing efforts, including but not limited to data protection laws and advertising standards.

9. Data Protection

The Affiliate Manager will handle personal data in accordance with relevant data protection regulations. You agree to comply with all applicable data protection laws.

10. Intellectual Property Rights

You are granted a non-exclusive, revocable license to use the Affiliate Manager’s trademarks, logos, and marketing materials solely for the purpose of promoting the Program. Any use of these materials must comply with the conditions outlined in the Termination section.

11. Force Majeure

The Affiliate Manager will not be liable for any failure to perform its obligations under this Agreement if such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, or acts of terrorism.

12. Affiliate Links

You may use the Affiliate Manager’s graphic and text links on your website and in your email messages. Advertising the Affiliate Manager in online and offline magazines, forums, blogs, social media, videos, custom websites, and newspapers is also permitted. You may use the provided graphics and text or create your own, as long as they comply with the conditions outlined in the Termination section.

13. Coupon and Deal Sites

Affiliates may not use misleading text, bid on the Affiliate Manager’s Coupons, or use pop-ups, pop-unders, iframes, or frames to set affiliate cookies without user consent. Affiliates must provide clear coupon/deal information before setting an affiliate cookie. Affiliates promoting unauthorized coupons will be removed from the program.

14. PPC Policy

PPC bidding is not allowed without prior written permission from the Affiliate Manager.

15. Liability

The Affiliate Manager is not liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, database losses, or any harm to the Program or its website(s). The Affiliate Manager does not provide warranties for the Program and will not be liable for any interruptions or errors.

16. Term of the Agreement

This Agreement begins upon your acceptance into the Program and ends when your Affiliate account is terminated. The Affiliate Manager may modify the terms and conditions at any time. If any modification is unacceptable to you, your only option is to terminate your Affiliate account. Continued participation in the Program indicates acceptance of any changes.

17. Indemnification

You agree to indemnify and hold harmless the Affiliate Manager and its affiliates from any liabilities, damages, claims, costs, losses, and expenses arising from your participation in the Program.

18. Electronic Signatures

This Agreement is an electronic contract setting out the terms of your participation in the Affiliate Manager’s Affiliate Program. Your acceptance of this Agreement through the application process constitutes an electronic signature with the same legal force as a handwritten signature.

19. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of South Dakota, USA. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Kingsbury, South Dakota, USA.
